Writers By Night — Coaching Agreement

This Coaching Agreement covers StoryPOWER Coaching with Writers By Night. Coaching is offered to selected writers by invitation. By checking the box to agree at checkout, you accept this Agreement, along with our Privacy Policy, Membership Terms (which govern the HQ access included in your coaching), and Sales Terms where relevant.

We are Danielle Kiowski, doing business as Writers By Night, a sole proprietorship based in New Mexico, USA. Contact: danielle@writersbynight.com.


1. What your coaching includes

As an active coaching client, you receive:

  • HQ access. Your coaching includes access to Writers By Night HQ, governed by our Membership Terms.
  • Office hours. You're invited to group office-hours sessions, held on a regular cadence (currently every other week). The schedule and frequency may change or increase over time.
  • Feedback on your StoryPOWER workbook lessons. You can share your StoryPOWER workbook documents with me and submit them for feedback, one lesson at a time, as described in Section 2.
  • Manuscript feedback during drafting. When you're in the drafting phase or doing discovery writing, you may also submit up to 5,000 words per week of your manuscript for review, in addition to your lesson submissions.

2. How submissions and feedback work

Workbook lessons. When you finish a lesson, share the document with me and let me know by email. I'll comment directly in the document and reply to your email with feedback within 2 business days, unless I let you know I need more time. Once you've received feedback on a lesson, you're welcome to submit the next one — we work through them one lesson at a time.

Drafting and discovery writing. While you're drafting, you may submit up to 5,000 words per week for feedback, on top of your lesson submissions. For these longer submissions, I'll let you know the timing for your feedback, which will vary with the length and depth of the material.

Working together well. These submission amounts are the amounts included in your coaching. If your needs go beyond them, we can talk about options. Please share documents in a format I can comment in (for example, Google Docs), and give me editing/commenting access when you submit.


3. Fees and payment

Coaching is billed monthly, at the price shown at checkout, through our checkout on Kajabi. You're responsible for any applicable taxes. 


4. Term, cancellation, and refunds

Coaching is month-to-month, with no minimum commitment. You can cancel anytime from your account or by emailing me at danielle@writersbynight.com; cancellation stops future billing, and your coaching (including the included HQ access and the ability to submit work) continues through the end of the month you've paid for. Monthly fees are non-refundable, and I don't provide partial-month refunds.

Because HQ access is included as part of coaching, when your coaching ends, the included HQ access ends too. If you'd like to continue in HQ afterward, you're welcome to join HQ separately at the price then available.

I may end the coaching relationship with reasonable notice, or immediately if you materially breach this Agreement or our community guidelines. If I end it for a reason other than your breach, I'll refund the unused, prepaid portion of that month on a pro-rata basis.


5. Your work and confidentiality

You keep all rights to your stories, manuscripts, characters, and creative work. Sharing your work with me for feedback doesn't transfer any rights in it to me.

I'll treat the manuscripts and workbook documents you share with me as confidential, and I won't share them outside our coaching work without your permission. The feedback and comments I give you are for your use in developing your own work. My coaching methods, materials, and frameworks — including the StoryPOWER System — remain my intellectual property.


6. What coaching is (and isn't)

Coaching is educational and developmental. I give you guidance, feedback, and direction on your writing and your project; I don't write, ghostwrite, or line-edit your manuscript for you, and my feedback is advice you choose whether and how to use. I make no guarantee about the results you'll achieve, including whether you'll finish your manuscript, get published, or earn any income — those depend on many factors outside my control, including your own effort. Nothing in coaching is legal, financial, or medical advice.


7. Conduct

Your use of HQ and office hours is subject to the community guidelines in our Membership Terms. Respectful conduct toward me and other members is expected, and serious or repeated violations may end your membership and coaching.


8. Limitation of liability and indemnification

To the fullest extent permitted by law, I won't be liable for any indirect or consequential losses, or for lost profits, arising from your coaching. If I'm found liable to you in connection with your coaching, my total liability won't exceed the total coaching fees you paid me in the 12 months before the claim arose. Nothing here limits any liability that can't be limited under applicable law, including for fraud or for death or personal injury caused by negligence.

You agree to indemnify and hold harmless Danielle Kiowski / Writers By Night from any third-party claim, including reasonable attorneys' fees, arising out of your breach of this Agreement or your violation of any law or the rights of a third party.


9. Governing law

This Agreement is governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. The state and federal courts located in New Mexico will have jurisdiction over any dispute arising out of your coaching or this Agreement.
